1. Entity Identity and Trading Disclosure
BEA is a trading name of Basilico Simply Italian Limited, a company registered in England and Wales (Company No. 15905974) with its registered office at 41 Trinity Street, Dorchester, DT1 1TT, United Kingdom. All references to “BEA” in this document refer to the business activities of Basilico Simply Italian Limited under the BEA brand.
2. Independence from Other Testing Organisations
BEA is an independently developed English proficiency assessment and is not affiliated with, endorsed by, or associated with IELTS, the British Council, IDP, Cambridge Assessment English, TOEFL, Pearson, Duolingo, or any other testing or accreditation body.
Any similarity in assessment format, question type, or test structure is coincidental and does not imply equivalence, interoperability, or endorsement.
3. Certificate Acceptance and Limitations
A BEA certificate is issued solely as evidence of the holder’s performance in the BEA assessment. BEA makes no guarantee of acceptance by any employer, academic institution, governmental authority, immigration body, or licensing organisation. It is the sole responsibility of the user to verify acceptance before purchase or use. No part of a BEA certificate constitutes a qualification regulated under Ofqual or any other accreditation body.
4. Validity and Verification
All BEA certificates:
- Are subject to verification via the BEA online verification system.
- Are valid for a period of lifetime from the date of issue unless revoked earlier due to breach of these terms.
BEA reserves the right to revoke any certificate found to be obtained through fraudulent, dishonest, or unauthorised means.
5. Refunds and Non-Cancellation of Digital Services
Once payment has been confirmed and/or test access credentials have been delivered, the service is considered partially fulfilled and is non-refundable, except in cases of:
- Duplicate payment; or
- Non-delivery of access credentials within 24 hours of purchase.
Requests under these exceptions must be documented and submitted within 7 days of the transaction.
Nothing in this clause affects statutory rights under the UK Consumer Rights Act 2015 where applicable.
6. Misrepresentation and Fraud Prevention
Users must not:
- Alter, falsify, or misrepresent their BEA results or certificate.
- Present their BEA results as being equivalent to, or endorsed by, any other testing or accreditation body.
BEA reserves the right to withdraw, without refund, any result or certificate found to be used in a misleading or fraudulent manner.
7. No Warranties
The BEA platform, assessments, scoring systems, and certificates are provided “as is” and “as available” without warranties of any kind, whether express or implied.
BEA disclaims any warranties regarding merchantability, fitness for a particular purpose, uninterrupted access, accuracy, or achievement of specific outcomes such as employment, visas, or academic admission.
8. Limitation of Liability
In no event shall BEA, its directors, officers, employees, contractors, affiliates, or associated entities be liable for:
- Any incidental, indirect, punitive, special, consequential, or exemplary damages;
- Loss of revenue, employment opportunity, visa approval, academic admission, emotional distress, or reputational harm.
BEA’s total aggregate liability to any user shall not exceed the total amount paid by that user for the relevant service.
9. Monitoring, Misuse, and Account Suspension
BEA reserves the right to suspend, revoke, or invalidate a test, result, or certificate without notice if:
- Irregular access patterns are detected;
- AI or unauthorised third-party tools are used;
- Multiple logins indicate impersonation or group use; or
- Academic honesty, platform integrity, or these terms are breached.
Appeals may be considered at BEA’s sole discretion but are not binding.
10. Intellectual Property Rights
All BEA content, including but not limited to test materials, scoring algorithms, branding, UI/UX elements, and certificate designs, is the property of Basilico Simply Italian Limited. Unauthorised reproduction, modification, reverse engineering, or dissemination in whole or part will result in immediate legal action, including claims for damages and injunctive relief.
11. Data Protection
BEA processes personal data in accordance with the UK GDPR and the Data Protection Act 2018.
BEA shall not be liable for unauthorised access or breaches caused by third parties outside its reasonable control.
12. Force Majeure
BEA shall not be liable for failure or delay in service delivery due to events beyond its reasonable control, including but not limited to natural disasters, cyber-attacks, internet outages, strikes, or regulatory changes.
13. Cross-Jurisdictional Use
Users outside the UK are solely responsible for ensuring compliance with their local laws and verifying acceptance of the BEA certificate in their jurisdiction. BEA disclaims responsibility for losses resulting from the use of its certificate in contexts where it is not accepted.
14. Governing Law and Jurisdiction
This disclaimer and any disputes arising from BEA’s services shall be governed by the laws of England and Wales, with exclusive jurisdiction vested in the courts of London, UK.
15. Non-Class Action Agreement
By using BEA services, users agree to resolve disputes individually and waive participation in any class action, group litigation, or representative proceedings.
16. Governing Language
In the event of any translation of this disclaimer, the English version shall prevail.
